We support our clients in resolving disputes arising from their commercial activities across various economic sectors, particularly concerning contractual matters (e.g., purchase and sale, supply, construction, professional services provision, among others) and pre-contractual issues (breach of information or loyalty duties, unjustified breakdown of negotiations, among others). We also represent our clients in disputes related to joint ventures, mergers and acquisitions operations, and private equity, including, specifically, pre-closing disputes, breach of representations and warranties and information duties, price adjustment, and changes in circumstances. We also act in corporate litigation, namely related to disputes concerning company control, corporate restructurings, mergers and acquisitions, corporate governance, and management crises, as well as the protection of majority and minority shareholders, challenging and suspending corporate resolutions, liability of directors and other corporate bodies, provision of information, and shareholder agreements. In restructuring & insolvency, we advise on preventive processes (PER and SIREVE) and on the insolvency and reorganization of companies. Our experience includes drafting and negotiating recovery and liquidation plans and overseeing their implementation. We ensure the defense of interests in various types of tax procedures and processes, regarding the most diverse tax figures provided for in the Portuguese tax system. Our activity includes monitoring inspection procedures, preparing and overseeing administrative complaints and appeals, as well as judicial challenges, other tax actions, or appeals in national courts. In the administrative offense domain, we offer preventive advice on identifying and complying with tax rules, as well as administrative defense and judicial representation. Our solid litigation experience with the Administration and tax courts guarantees not only a deep knowledge of procedural rules but also the ability to act, at any time, according to the most suitable procedural strategy to ensure the defense of our clients' interests. We frequently collaborate with other legal teams, coordinating or integrating multi-jurisdictional and multidisciplinary teams of lawyers.
